| 摘 要： | 对公司法未规定股东大会提案审查制度的缺陷以及股东大会实践运作过程中因没有对股东大会提案进行审查所导致的问题进行了理论分析,阐述了建立股东大会提案审查制度的重要意义,提出了如何确定股东大会提案审查主体以及通过诉讼途径解决股东大会提案争议的理论主张。

| Abstract: | The flaws in the resolution of shareholder's meeting are analyzed because it hasn't resolution review system,which causes problems in corporation reality.It is important to establish shareholders' proposal review mechanism.The ideas are put forward as how to determine the subject of shareholders proposal examination as well as how to solve the shareholders proposal review dispute through lawsuit way. |
