| 摘 要： | 有限责任公司的制度设计以及公司治理模式决定了公司僵局这一客观法律现象的长期存在修改后的《公司法》及最高人民法院的相关司法解释以立法的形式为解决这一难题打开了一务司法救济的路径。这对维护投资者以及中小股东权益具有重要现实意义。在办理公司法律实务过程中,笔者深感我国公司僵局法律救济机制在立法上的缺失和不完善。本文从公司僵局的基本问题入手,以公司僵局及其解决机制为研究对象,结合国内外学者的研究成果,在现有的法律框架内,提出适合我国实际情况的应对公司僵局的法律解决机制及体系架构。
