| 摘 要： | 自1999年四通改制起,MBO在中国已有了十几年的发展.这十几年的发展可以分成三个阶段:萌芽阶段、兴起阶段、逐步规范阶段.MBO在中国的产生与发展有着自己的动因,MBO本身是否是国企改制的有效途径并不重要,关键是完善其操作环境,纳入市场化管理,让市场来抉择.

| Abstract: | As a mode of merger and reorganization, MBO has great advantages in clarifying ownership, reducing agency-costs and encouraging managers. Since 1999 Stone began its revolution in property ownership, there have been 10 years for the development of MBO in China, which can be classified as three phases. This thesis analyzes the characters and operational environment in each phase and the main problems existed in practice. At last it draws a conclusion that it is no use to argue whether MBO is a proper way for the revolution of state owned enterprises now. The most important thing is to build a sound environment . |
