| 摘 要： | 公司法人人格否认是指对已具有独立法人资格的公司在具体的法律关系中,如果由于股东不正当的目的而滥用法人人格并因此对债权人利益造成了严重损害,法院可以基于公平正义的价值理念否认该法人的独立法律人格,并责令其股东直接对法人的债务承担连带责任的一种法律制度。公司法人人格否认制度是对有限责任制度的一种反思,其目的不是消灭公司的法人人格,而是在具体个案中,对股东与债权人之间的一种利益权衡。

| Abstract: | The legal person personality denial of the company refers to that of the company which has already had independent legal person qualifications in the concrete law relation.It is a law system that,if a shareholder does damage to debtors or creditor because it abuses the legal person qualification for false purposes,the court can deny the independent law personality of that legal person by the principle of fair justice,and can order the other shareholders to undertake joint liabilities to the obligation of the legal person directly concerned. |
