我国风险投资的立法缺陷及其完善

风险投资作为一种特殊的投融资活动,需要有相应的法律和制度进行调整和规范。但是,由于我国风险投资起步较晚,目前基本法律法规尚不完善,而现行有关法律法规的内容已经对风险投资业的发展产生了限制性影响。如我国现行《公司法》、《合伙企业法》等的相关规定,均没有考虑风险投资行业的特点。因此,应当在尽快制定《风险投资法》的同时,对现行相关法律法规加以完善,建立起一套规范和扶持风险投资业发展的法律和政策体系。

Legislative Defect of Venture Capital and Its Improvement

Venture capital as a special activity in financing and investment needs to be adjusted and regulated by relevant laws and regulations. However, due to the less sound legal system, contents of current laws and regulations such as the Company Law, Partnership Law have restricted the development of venture capital industry. Therefore, we should improve these laws and establish a set of law and policy system for ensuring a health development of venture capital, while stipulating Venture Capital Law.
