企业法律形态比较研究

企业形态经历了家庭-行政性公司-古典企业-现代企业的演变历程,形成以公司等法人企业为主导,辅之以独资企业、合伙企业、行政性的国有企业等多元化的生产经营体系。大陆法系和英美法系对企业法律形态立法模式的通行做法是将企业划分为独资企业、合伙企业和公司企业三种,这样的立法是对市场经济中通行的企业形态的概括和总结,符合市场经济的一般要求与规律。我国已经确立了社会主义市场经济体制,应当借鉴与采用市场经济通用的企业形态模式,采用一元化的立法标准,完善合伙企业、国有独资公司、一人公司等企业形态立法。

A Comparative Study of Forms of Law in Enterprises

Enterprise goes through an evolutionary transition from household workshop, administrative company, classical venture to its modern version, thus bringing forth a multiple system of production and management dominated by corporations and supplemented by single undertaking, partnership, administrative state-owned enterprise. These forms, which are very popular in the Continental and Anglo-American law legal systems, well satisfy the imperatives of the market economy. When pursuing a market economy with socialist characteristics, China's legislation on enterprise forms is expected to adopt a centralized mode being complemented by specialized legislation and to improve its legislation on such enterprise forms as partnership, administrative state-owned enterprise and one-man corporation.
