| 摘 要： | 公司治理结构是具有人格特征的公司的大脑和神经 ,其健康的结构影响公司的整体效率。公司治理结构的本质决定于企业的性质 ,它是一个企业契约 ,是一个人力资本与非人力资本的特别合约。由于人力资本与非人力资本都不是均质的 ,其所有者在达成特别合约的博弈中 ,会产生多种多样的结果——多种形式的公司治理结构

| Abstract: | Corporate governance is like the brain of a corporation with human features, whose healthy structure influences deeply the total efficiency of a corporate. The nature of corporate governance determined by the nature of firm is a contract a particular contract between human capital and non human capital. Both human capital and non human capital are of heterogeneity, so the bargaining for reaching an agreement of the particular contract among their owners will result in many types of corporate governance. |
