公司社会责任立法的目的是减少或防止公司不当与不法行为的发生,避免不必要的社会纠纷,破坏和浪费各种社会资源,是一种与法律责任的事后救济不同的事前要求与救济。因此将公司社会责任践行的视线主要对准公司董事是很好的承认与发挥了公司法律人格,公司董事地位与作用,公司社会责任的事前要求与救济的自身特性,是将三者的有机结合。在这一大的方向的前提下,可以借鉴有关学者做法,运用正当程序原理构建非股东利益相关者参与公司治理机制,以有效践行公司社会责任。
