解约定金制度研究

解约定金制度在本质上是一种合同解除制度。合同解除的实质是将不当配置的资源组合予以解散,为资源优化重组创造机会,以减少和避免资源浪费。解约定金灵敏度高、适应性强、操作灵活、设计精巧,不仅能恰到好处地把握合同解除尺度,而且实现了解约双方的互利共赢。《担保法解释》第117条背离了解约定金制度宗旨,破坏了解约定金制度的和谐与完美,应当予以修正。

The earnest money for discharge is one kind of discharge.The significance of discharge is to dismiss the optimized resources allocation that is no longer superior because of the changing markets,to create opportunities of resources reorganization,to reduce and avoid the waste of resources to be wasted.The earnest money for discharge,compared with the traditional discharge,is sensitive,effective,wide-scope and subtle.It can not only manage discharge contracts that should be discharged,but also give both sides mutual benefit and a win-win.The article 117 of Explanation of Code of Security and Guarantee not only betrays the goal of discharge,but damages the harmony and perfection of the earnest money for discharge.So it should be corrected.
