一人公司制度研究

一人公司的出现对传统公司法理论分别提出社团性、治理结构和有限责任问题的挑战,结合我国立法实践,为完善一人公司的立法,本文提出了完善公司法人格否认制度、建立科学合理的治理结构、加强规范实质一人公司和完善一人公司资本制度的建议。
