| 摘 要： | 合伙的法律地位问题是合伙法学理论的一个重点和难点，而合伙的法律地位以其民事主体地位问题最为典型，我国现行立法对合伙的民事主体地位问题采取了回避的态度，导致了合伙的地位处于一种无可归属的状态。我国理论界对合伙的民事主体地位看法颇多，却不尽一致，然而对合伙民事主体地位的不同界定会导致不同的合伙制度，并会对合伙的利益、合伙人和利害关系人的利益、合伙组织的稳定和发展等产生重大影响。因此，准确地为合伙进行法律定位具有重大的理论和实践意义。
