| 摘 要： | 市场化选择经营者的办法是将上市公司的国有股表决权证券化为类似于股票一样的国有股表决权证,并在沪深股市竟价发行后上市流通交易,与原有流通股一起共同构成统一的公司控制权市场。国有股控制权的流动化、市场化将有助于实现政企分开,构建股市的用手投票机制,促进经理人市场的形成,使优秀的民营经济经营管理者与国有经济有机结合,形成社会主义市场经济的微观经济基础,找到公有制在市场经济中的微观实现机制。

| Abstract: | This paper discusses the measure of choosing the management team on the background of special institution in
china. The author points out, to improve the operation of corporate controlling right market in China, we shoud do Security of
right to vote in state-owned stocks. Control right transference will find excellent management team, and will motivate the
managers to make the maximal value of corporate. |
