| 摘 要： | 要实现国有企业改革的目标 ,关键是形成真正有效的公司治理结构。对国有企业实行公司制改造 ,前提是实现投资主体多元化。要把公司的内部治理机制和外部治理机制有机地结合起来 ,在所有者与经营者之间建立有效的制衡机制 ,尤其要形成对高层经营管理者有效的激励和约束机制

| Abstract: | The key to achieving the goal of reform in state-owned enterprises lies in establishing effective corporate managerial systems. The precondition for transforming state-owned enterprises into corporations is the diversification of investors. It is important to combine internal and external managerial mechanisms to form an effective check and balance system between owners and managers, and in particular, an effective incentive-binding system for senior management. |
