| 摘 要： | 本文从股东派生诉讼产生的背景分析,指出股东派生诉讼制度对股东权保护的重要意义,建议我国应在公司法中规定股东派生诉讼制度,并借鉴英美等国立法例结合我国实际对股东派生诉讼的原告资格,前置程序进行了初步设计.

| Abstract: | The article analyzes the important significance of the shareholders' derivative suit for the protection of shareholders' rights. It points that it is necessary to set up the shareholders' derivative suit system in the corporation law. On the base of other countries' legal experiences and the current situation in china, the author discusses the competence of the plaintiff and the demand requirement of the shareholders' derivative suit. |
