论公司商业机会的认定标准

公司机会规则是英美法系公司法中的一个重要理论。我国2005年新修订的《中华人民共和国公司法》将"公司机会原则"正式引入我国的法律体系,填补了一项法律空白,但如何将这一复杂的制度成功移植到我国的成文法体系,特别是在司法实践中如何运用这一规则,将是我国理论界和司法界面临的重大课题。

On the Criterion of Ascertaining the Corporate Opportunity

Corporate opportunity doctrine is one of the most important rules in corporation law of common law countries,and it purports to prohibit the directors and managers from getting illegal interest,by imposing them the duty of not usurping corporate opportunity.The"corporate opportunity doctrine"was introduced into the new company law of our country in 2005,but it will be a big problem for the fields of judicature and law to apply the doctrine to judicatory practice.
