| 摘 要： | 从实证的角度结合相关理论和已有的研究成果,分析中国上市公司董事会的特征（董事会持股比例,董事会的规模,董事会人员构成,董事会领导结构）对管理层舞弊的影响,并得出相关的结论,进而为中国上市公司董事会监督管理职能的有效发挥,有效的遏制管理层舞弊的发生乃至公司治理机制建设提供思路。
