| 摘 要： | 公司的治理结构不仅是公司领导机构的组织形式,而且是公司产权关系人格化的体现。本文结合一些国有企业进行现代企业制度改制的实践,从产权关系上对国有资本控股或参股的公司的股东会(股东大会)、董事会、总经理及监事会的权益、职责及其相互关系进行分析,并结合实际对其人选和运作方式作了论述。从经济学与管理学的角度论证分析后认为:国有产权人格化是可能的。

| Abstract: | The administrative structure of corporation is not only an organizational form of the leading body,but also the personification of property rights.Based on experiences in rebuilding of SOE,the paper analyzes in an all-round way the concerning relationships from the viewpoint of property rights relationships and holds that it is possible to personify state-owned property rights. |
