主并企业对被并企业的控制会影响并购绩效,而企业的各种利益相关者对于企业并购的态度即并购合法性会对并购后控制与并购绩效之间的关系产生影响。基于123个样本实证分析得到如下结论:主并企业对被并企业的非正式控制程度对主并企业的并购绩效具有显著积极作用,而正式控制程度与并购绩效之间没有显著相关性;并购的外部合法性对并购后正式控制与并购绩效之间的关系具有显著的正向调节作用,而并购的内部合法性对并购后非正式控制与并购绩效之间的关系具有显著的负向调节作用。研究结论对于中国企业的并购后决策以及如何实现并购目标具有理论指导价值。  相似文献

本文分析了内部控制与高管权力的相互作用关系及其对并购绩效的影响,利用中国上市公司数据,运用结构方程模型进行了实证分析.研究发现,内部控制对并购绩效具有显著的正向影响,而高管权力与并购绩效负相关,并且内部控制与高管权力之间存在反向的相互作用关系.当高管权力缺乏制衡时,并购成为高管实现个人收益的手段,而企业本身并不能实现预期的并购价值,内部控制是针对高管权力的制衡机制,对并购绩效的实现具有重要作用.  相似文献

并购作为企业追求规模效益、提高经济效率、合理配置资源的有效战略,在经济转型期日益频繁地被企业采用。企业高管承担着制订和实施企业并购战略的使命,与企业并购行为能否提升其绩效有着紧密的联系。近几年来,大量女性开始进入企业高管团队,在企业管理团队中发挥着重要作用。本文以207家中国A股上市企业为样本,分析了女性高管对企业并购绩效的影响。研究结果显示女性高管比例以及女性高管在其他单位兼职均与企业并购绩效之间存在着正相关关系,能够显著提高企业并购绩效。本研究对企业高管团队的配置和建设具有一定的启示作用,为企业并购提供理论指导,进一步拓宽了现有高层管理团队的研究范围,对政府制定有关促进女性发展政策提供参考,同时也希望借此研究打破无形"玻璃天花板"阻碍,为女性高管的发展提供帮助。  相似文献

基于外来者劣势和组织学习理论,从外来者劣势的固有来源合法性缺失和信息不对称两个维度出发,分析外来者劣势对跨国企业国际并购绩效的影响,探索种群密度、文化交流、股权比例和企业年龄4个情境因素的调节作用,构建外来者劣势与国际并购绩效关系的概念模型,选取2004年至2010年中国企业国际并购事件为样本,利用SPSS软件进行大样本实证检验。研究结果表明,合法性缺失和信息不对称导致的外来者劣势对国际并购绩效产生显著的负向影响,种群密度、文化交流和企业年龄皆能显著弱化信息不对称对国际并购绩效的负向影响,股权比例越大则越强化信息不对称对国际并购绩效的负向影响。从提高目标国选取的合理性、考量东道国环境、采取内部股权治理战略和平衡组织学习模式等角度给出降低外来者劣势进而提高国际并购绩效的管理启示。  相似文献

本文运用结构方程模型探究了高管报酬激励、战略并购重组与公司绩效间的作用关系路径。研究发现,高管年薪报酬对公司绩效的直接正向作用显著,高管持股报酬对公司绩效的直接正向作用不显著;在激励契约完备与不完备的前提下,不同高管报酬激励、战略并购重组、公司绩效之间作用路径及其显著水平不同,战略并购重组的中介作用及公司规模与公司性质调节作用也不相同。研究结果为为中国企业选择高管报酬激励方式、进一步完善公司治理结构提供实证支持。  相似文献

虽然企业成长压力是所有高管都要面临的重要课题,但对我国具有"准官员"性质的国企高管而言,却有着更为"与众不同"的意义:由于国企承担着较多的政策性负担,使得"企业成长速度"指标取代了包含很多噪音的"企业绩效"指标(即国企普遍采用的"规模导向型"发展方式),成为国企高管政治晋升中的一个重要评判筹码。当然,这也意味着对于具有不同政治晋升机会的高管而言,他们面临的成长压力会有所差异:与那些政治晋升机会较低的高管相比,政治晋升机会较高的高管面临的成长压力相对较大。并购作为企业实现快速成长的重要方式之一,自然成为那些追求政治晋升高管的最佳选择。有鉴于此,本文拟基于企业成长压力理论考察国企高管政治晋升对企业并购行为的影响。文章基于2004~2013年国有上市公司的并购数据,研究发现:与政治晋升机会较低的国企高管相比,当国企高管面临的政治晋升机会较高时,企业选择并购成长方式的可能性较高,在并购交易中支付的溢价水平相对较高,并购后取得的短期并购绩效虽无显著差异,但长期并购绩效却显著较差。当企业自身内生成长速度特别是相对自身历史的内生成长速度较慢(即高管面临的内生成长压力较大)时,高管政治晋升对上述并购行为(并购成长方式选择、并购交易价格支付、并购绩效)的影响就会越强。  相似文献

本文基于非正式制度视角,以2010—2019年度沪深A股上市公司为样本,实证检验了地区风险偏好对企业并购行为的影响。研究发现,地区风险偏好对企业并购行为具有显著的促进效应,在风险偏好越高的地区,企业选择并购作为成长方式的概率越大。该结论在经过一系列稳健性检验和采用倾向得分匹配(PSM)、工具变量以及双重差分模型(DID)缓解内生性问题后仍然成立。进一步研究发现,风险偏好较高地区的企业更倾向于进行异地并购,所从事的并购项目风险更高;与风险偏好较低地区的企业相比,并购后取得的短期并购绩效虽无显著差异,但长期并购绩效却显著较差。最后,从影响非正式制度发挥作用的企业内外部治理因素角度进行的异质性检验表明,地区风险偏好对企业并购行为的影响主要存在于非国有企业、规模较小的企业以及正式制度建设较差地区的企业。本文揭示并提供了地区风险偏好影响企业并购行为的理论逻辑和经验证据,有助于更加全面地认识和了解经济高质量发展背景下非正式制度对我国资本市场的作用,同时丰富了文化与金融领域的相关研究。  相似文献

本文以我国上市公司为研究样本,研究了政治关联对企业并购行为的影响.研究结果表明,中国上市公司的政治关联显著影响了它们的并购行为.政治关联企业实施了更多的并购,并购规模也更大.政治关联对并购的这种影响主要是通过政府对国有企业施加影响实现的.我们同时考察了政治关联对并购绩效的影响,发现无论是以会计业绩还是市场业绩作为衡量指标,政治关联对并购绩效都有着显著的负面影响,其并购绩效显著低于其它公司;并购了国有控股企业的政治关联企业因为并购而遭受的损失最大.上述结果说明,中国上市公司的政治关联在一定程度上导致了资源的错误配置,使得有限的资源浪费在低效甚至是无效的并购行为上.从更深层次的意义上来说,本文的结论为非市场机制的危害性提供了证据.  相似文献

针对1997年到2001年我国上市公司并购中控制权变更的282例样本,就其控制权变更公告日效应的平均超常收益率和累计平均超常收益率进行了实证分析。研究结论显示:我国上市公司并购中控制权变更的信号传递效应在[-2,2]区间上完全实现。在我国上市公司并购中控制权变更公告日收益率变动呈现出如下趋势:在公告日信号传递效应区间,其收益率显著为正;随着传递时间延伸,收益率显著为负,从而在整体上,我国上市公司并购中控制权变更对并购公司股东并未显示出明显绩效改善。上述结论统计检验极其显著的。  相似文献

本文基于高阶梯队理论,针对以往TMT研究的关键问题,探讨绩效下滑的非多元化企业CEO继任后,TMT异质性、战略变革和绩效改善的关系。本文选取了沪深两市2005-2013年相关数据为研究变量,对2008-2010期间发生CEO变更的145家绩效下滑的非多元化企业进行实证研究,结果表明,TMT任期异质性对战略变动有显著负向影响,战略变动对企业绩效变化没有显著影响,战略背离对企业绩效变化有显著负向影响。当我们探索性的测量战略变革的方向时,发现战略变动与企业绩效变化呈U型关系,战略背离与企业绩效变化呈倒U型关系。本研究不仅为绩效下滑的非多元化企业转型战略研究提供一个新的视角,而且为绩效下滑企业选择高管团队提供了决策的依据。  相似文献

This paper examines the impact of corporate social responsibility behavior on the sustainability performance of focal companies and their partners in fast fashion supply chains. The attributes of sustainability and the mechanism of sustainability governance of the fast fashion supply chain are also discussed. From the perspective of strategic corporate social responsibility, we first analyze the motives for adopting sustainability governance in fast fashion supply chains, and identify seven competitive sustainable attributes of the fast fashion product based on sustainable development theory. Then, by establishing a sustainability governance framework, we identify seven factors that affect the sustainability governance decision-making and evaluate the efficiency and legitimacy mechanism of sustainability governance from internal and external perspectives. Finally, we explore the application of the governance mechanisms via a case study based on H&M’s seven sustainability commitments. The findings suggest that the core influence and centrality of a corporation should be strengthened from the perspective of internal governance, and stakeholders should collaborate to achieve sustainability governance throughout the entire fast fashion supply chain from the perspective of external governance.  相似文献

This study investigates how mutual dependence and power imbalance, which have been differentiated by recent studies adopting the theoretical lens of resource dependence theory (RDT) as two distinct forms of interdependence, change the effect of technological similarity between the acquiring firm and the target firm on post-acquisition innovation across times. The analysis of panel data on mergers and acquisitions undertaken by US firms reveals that in the short-run, mutual dependence strengthens the effect of technological similarity on post-acquisition innovation, whereas power imbalance weakens it. However, the effect of mutual dependence persists over time, while that of power imbalance declines over time. These findings extend the RDT to the context of technological acquisition and innovation and offer important implications for research and practice.  相似文献

Extant research has primarily focused on the economic drivers and outcomes of corporate environmental performance. This trajectory oversimplifies the motives for environmental strategies across all firm types and particularly overlooks how firm ownership presents other motives for environmental strategies. In this study, we leverage institutional theory to examine how family motives, underpinned by family members' desire to gain or preserve family legitimacy and socio-emotional wealth, affect ISO 14001 certification. Using firm-level data, we find that family ownership has a positive effect on ISO 14001 certification. This effect is stronger for firms whose names include the family name and also for firms located closer to large cities. Our study contributes to nonmarket strategy literature by showing that family motives underpin firms’ environmental initiatives. It also contributes to institutional theory by delineating the levels of legitimacy that spur nonmarket strategy in family firms.  相似文献

Strategic credibility has to do with how favourably key stakeholders view the strategic foundations of the firm. Does the company have a solid strategic capability? Is corporate strategy responsive to emerging opportunities, organizational goals and resources? Does the company have an effective strategic planning process? To be able to answer these questions affirmatively is important. To be able to convince key stakeholders that outstanding corporate performance is planned rather than accidental is even more significant. The company that utilizes corporate communication to create and sustain a positive strategic image is well on its way to achieving strategic credibility. Extending research on the performance of Mergers and Acquisitions (M&As), this paper seeks to explain how the post-acquisition integration phase affects acquisition performance. Despite extensive research efforts, there remains a scant understanding of how acquisition implementation, particularly in the post-acquisition integration phase, impacts the performance of M&As. Based on an extensive study of eight acquisitions, in this paper, a grounded model detailing the mechanisms by which the post-acquisition integration phase affects acquisition performance is developed. The model posits that integration-related factors do not bear directly upon acquisition performance. Instead, their effect is mediated by functional organizations in both firms. When focusing into these functional mediating dynamics, we observe that integration-related processual, behavioral and cultural factors affect the identified functional mediators in different ways. Going forward, we echo calls for integrated perspectives to the study of M&A and M&A performance in particular.  相似文献

This paper considers acquisition success from the seller's perspective and uses the seller's acquisition success criteria as an indication of their interpretation of the acquisition event. The argument is that sellers who use strategic and social criteria to appraise acquisition success interpret acquisitions as partnerships, while sellers who use financial criteria to appraise success interpret acquisitions as sales. Based on interview and survey data on the seller's perspective on acquisition success for 33 acquisitions in the communications equipment industry, we find that sellers use strategic and social criteria to appraise acquisition success and conclude that sellers interpret acquisitions as partnerships.  相似文献

The rapid development of social media has significantly affected organizational innovation activities. However, scant research has investigated how social media, as an important innovative tool within the corporate landscape, influences firm business model innovation (BMI). This paper provides an initial investigation into whether, and how, social media can be used to promote firm BMI. Drawing on the strategic capability literature, the study examines the relationship between social media strategic capability (SMSC) and BMI by focusing on the mediating role of strategic flexibility and the moderating effects of top management team (TMT) heterogeneity and environmental dynamism. Empirical results from a sample of 283 Chinese firms with two key informants each show a significant and positive association between SMSC and BMI, which is mediated by strategic flexibility. In addition, moderated path analyses indicate that TMT heterogeneity positively moderates the SMSC–strategic flexibility path, while environmental dynamism positively moderates the strategic flexibility–BMI path in the mediated relationship. Theoretical and practical implications of this study for both social media and BMI research are discussed.  相似文献
