章程股权转让限制的比例原则审查

我国《公司法》对有限公司章程进行股权转让限制做出了授权性规定，但是却没有明确其合法性范围，实践中存在大股东利用资本多数决原则修改章程，侵害股权自由转让权利的现象。实务界对于限制措施的合法性分析存在滥用人合性、分类不合理等问题，理论界虽然提出了多种学说，但是却仍存在正当性不足、分类标准模糊和可操作性差等问题。比例原则审查由其四个子原则构成，具有较强的逻辑性和可操作性，能够充分保证限制措施与人合性保护目的之间的均衡。适用比例原则进行审查符合该原则的本质特征，具有可行性。比例原则能够从手段与目的关联性、限制强势主体滥用权利的角度，对其合法性展开审查。     

Validation of the Learning Transfer System Inventory (LTSI) in the Korean corporate context

Lack of a valid instrument to measure learning transfer predictors has been the major obstacle hindering Human Resource Development (HRD) professionals from moving forward. This problem is one of the lingering HRD issues in South Korea, in which human resources have been strategically emphasized as a critical asset due to the scarcity of natural resources. To address this issue, this study aims at testing the validity and reliability of the data collected with the Korean Learning Transfer System Inventory (LTSI) Version 4. A sample of 753 managers from 16 Korean industries was divided into two subsamples for exploratory and confirmatory factor analyses. Reliability and the effect of common method variance on the factor structure were examined, with the results suggesting that the LTSI is valid for use in the Korean industry.

Copula-based reliability analysis for a parallel system with a cold standby

The traditional reliability models cannot well reflect the effect of performance dependence of subsystems on the reliability of system, and neglect the problems of initial reliability and standby redundancy. In this paper, the reliability of a parallel system with active multicomponents and a single cold-standby unit has been investigated. The simultaneously working components are dependent and the dependence is expressed by a copula function. Based on the theories of conditional probability, the explicit expressions for the reliability and the MTTF of the system, in terms of the copula function and marginal lifetime distributions, are obtained. Let the copula function be the FGM copula and the marginal lifetime distribution be exponential distribution, a system with two parallel dependent units and a single cold-standby unit is taken as an example. The effect of different degrees of dependence among components on system reliability is analyzed, and the system reliability can be expressed as the linear combination of exponential reliability functions with different failure rates. For investigating how the degree of dependence affects the mean lifetime, furthermore, the parallel system with a single cold standby, comprising different number of active components, is also presented. The effectiveness of the modeling method is verified, and the method presented provides a theoretical basis for reliability design of engineering systems and physics of failure.     

生产者货币计价决定因素的实证研究

利用12个发达国家和发展中国家的非平衡面板样本数据,对微观、宏观和其他因素对生产者货币计价(PCP)的影响进行实证研究,指出经济规模、市场份额、金融市场的发达程度、币值的对内稳定性和产品差异化程度是最主要的影响因素,而出口商的谈判能力、币值的对外稳定性等因素也对PCP的选择有一定影响。根据实证检验结果,对人民币作为贸易计价货币的条件进行评估,发现其优势在于我国的经济规模、出口商的市场份额及其谈判能力以及人民币汇率的相对稳定性; 劣势在于相对落后的金融市场、不可预期性较大的通货膨胀水平以及产品的差异化程度。     

论《镜花缘》中科幻小说之特色

清代长篇小说《镜花缘》的内容丰富多彩,其类属和特点也比较多样。鲁迅说它属博物小说,才艺小说;胡适称它为妇女问题小说,女权小说,等等。此外,小说还描写了一些精彩的科幻故事,包括科幻植物如人吃一颗饱一年的巨米,人吃了能蹿高的蹑空草,长效久饱干粮救荒豆末;包括科幻器物如人穿上能长时间潜水的皮衣皮裤,能连续高速开火的火绳枪—连珠枪,能载人载货飞行的飞车;包括科幻技术,如人能近地但不触地地行进,换心补肺的医术。文章从科学、文学、历史几方面对上述科幻故事进行了考察、解读、诠释、分析、评论,研究总结出：《镜花缘》也具科幻小说之属性和特点,是我国第一部也进行了科学幻想文学创作的长篇小说。     

论鲜卑段部的源流和兴衰

段部出于东部鲜卑,其远祖为先秦时期的屠何,早期活动于徒河地区,北朝时段部与慕容部、乌桓又同称为徒何。段部的兴衰与晋末十六国时期的政局变化有着密切关系,段部与司马越、王浚结援,在司马越当政之时而走向强盛,随着司马越集团的败亡及临敌石赵、慕容燕的崛起而逐渐走向衰亡。同时,段部的兴衰也对晋末十六国政局产生了很大影响。

制造业是我国经济发展的重要支柱，也是实现低碳减排的主要战场。建立低碳制造评价指标体系，结合主成分分析法和层次分析法，可对我国制造业的低碳发展进行定量的研究评价，并从制造业低碳经济、低碳技术和低碳环境三方面分析对碳排放的影响。我国的低碳制造水平整体呈上升趋势，未来，我国的制造业既要保持高速发展，同时也要向低碳经济转型，发展低碳技术，调整能源结构。

七体自枚乘《七发》首创之后,作者继踵。建安七体文皆是虚构一主一客问答的招隐型作品,但它们并不是简单的模拟之作,在思想倾向上,虽是以儒家思想为主,却也体现出当时对刑名之学的重视;在情感倾向上,作者的情感已由讽谏转向颂美,名为招隐,实为自招,并成为激励士人的劝仕之作;在艺术技巧上,注重语句的对仗工整,讲究音律的和谐,用典成分增多,体现出较强的骈化趋势。总之,建安七体文无论从内容还是形式,都受到了那个时代社会风气和政治背景的影响。
