| 摘 要： | 企业转制或私有化进程中的腐败是世界范围内普遍存在的现象。中国的企业转制把公有制下隐性的资产流失转化成了转制过程中的显性腐败,其根源在于公有制企业内在的治理结构缺陷,而不是企业转制本身。虽然企业转制中出现了腐败,但转制本身却能够减少公有制企业中的腐败,因此,企业转制的进程是短期内的平等与长期内的效率之间的权衡。在既有的企业治理结构和政府权力结构下,企业管理者很可能会和政府官员通过合谋来决定转制方式,并分享企业转制产生的利益。企业的转制能够带来效率的提高,虽然腐败客观上推进了企业转制,但也由此加剧了不平等。在中国这样的转型经济的企业转制中,权力结构不变、效率和公平这三个目标是不可能兼得的。 |
