农业产业安全观下的外资并购风险与法律防范

随着经济全球化的推进,外资在我国农业产业领域的渗透不断加深,尤其表现在跨国公司对重要农业企业进行的并购投资。并购虽然增强了农业企业的市场竞争力,但并购后外资所形成的控制性优势地位,也给我国农业产业整体安全带来了较大的负面影响。分析了直接投资以并购模式进入农业领域所产生的风险,并基于维护农业产业安全的视角,归纳出我国农业在发展与利用外资方面暴露出的法律问题,提出了若干保障产业安全的立法措施与完善性建议,为促进农业产业稳妥、积极利用外资而构建良好的法律环境。

Risks of Foreign Investment M&A and Legal Prevention from Perspective of Safety of Agricultural Industry

With the economical globalization,foreign investment in China’s agricultural industry is increasing rapidly,which is reflected in transnational merger and acquisition in some important agricultural enterprises.Although merger and acquisition have improved the competitiveness of agriculture in the market,the dominant position of foreign investment has also caused several negative effects on China’s agricultural industrial safety.This paper first analyzes the risks rendered by M&A direct investments in agrilcural fields,and from the perspective of industrial safety,this paper sums up the legal problems exposed in utilizing foreign capital and developing our agircultural industry.In order to build the favorable legal enviroment for foreign investment,this paper finally puts forward some legislative measures and suggestions on how to guarantee the industrial safety.
