摘    要:国内外学者对于治理结构与绩效的研究一般从股权结构、组织形式和治理效率来分析。本研究从制度视角分析组织治理结构与其所处环境特征关系,搭建以合法性为驱动的治理结构研究框架。我们认为,组织治理结构受环境带来的合法性目标影响,获取和塑造组织合法性目的会影响组织战略制定与选择。本文从组织社会学制度理论合法性视角提出组织不仅是生产要素和协调机制的产物,也是社会制度的产物,企业只有获得合法性才能够生存与持续发展。

Abstract:Generally, scholars make research on the legitimacy of governance structure and performance mechanism by analysing the stockholding structure, organization form and governace efficiency. This thesis intends to make a study of the governance structure's relation to its characteristic environment from the institution perspective, centering on the driving power of legitimacy. It is believed that governance structure is influenced by the legitimacy goal of the environment. The acquisition of legitimacy of governance structure have impact on the making and implementing of organization strategies. This thesis points out that organization is not only a product of productive factors and coordinating mechanism, but also that of social system. Thus, only when legitimacy is acquired could enterprises survive and develop.
