国有企业改革的方向是建立现代企业制度.国有企业改革的难点集中在国家和企业的关系以及它们各自财产权的法律性质上.本文从所有权结构的历史考察入手,分析国家所有权与法人财产权的法律性质,及其相互独立、相互依存的产权关系,明确所有权权能可以分离的理论是建立现代企业制度的基石,为社会主义公有制和市场经济的连接提供了法律依据.企业法人财产权的界定使国有企业成为真正意义上的市场主体,从此国有资产产权主体不再虚置,国家行使所有权的形式实现根本性转变.

On State-Owned Property Right and Legal Person Property Right in State-Owned Enterprizes
