欧盟企业合并控制的实体标准研究

现代反垄断法的规制对象主要包括三大类：联合限制竞争行为、滥用支配性地位行为和企业合并行为。合并控制的实体标准是合并控制制度的核心，从根本上决定一项合并行为是否违法，也反映出一国合并控制制度的严厉与宽容。欧盟作为当今世界合并控制制度最发达的地区之一，其合并控制的实体标准先后经历了三次变革，反映了欧盟在经济形势变化下的立法和政策演变的价值取向。本文从欧盟合并控制的实体标准的沿革入手，分析其合并控制标准变化的原因，并对完善我国经营者集中的实体标准提供借鉴。

The Study of Substantive Criteria in EU Merger Control System

The regulating objects of modern anti-monopoly law include mainly three kinds: collaboration of restricting competition,abuse of dominant market position,and enterprises merger.As the core to the merger control system,the substantive criteria of merger control fundamentally decide if a merger is lawful,and also reflect the strictness of the merger control system of a country.EU owns one of the most developed systems in merger control;and its substantive criteria have gone through three great changes,showing the values orientation of legislation and policy of EU in the context of economic changes.This paper studies the evolution of the substantive criteria of merger control in EU,analyzes the reasons behind the changes,and puts forward some suggestion for China to perfect its substantive criteria in concentration of undertakings.
