| 摘 要： | 国有企业所有者缺位及中国产权交易市场机制和约束机制不健全,政府应该在外资并购中扮演重要角色。政府应着力构建外资并购的支持性系统,促进国有企业进行战略调整,同时对外资并购进行引导和监督,减少国有资产的流失。

| Abstract: | Due to the vacancy in owners of state-run enterprises, also due to the imperfection of the Chinese market and restriction in changes to property rights, the government should play an important role in foreign taking-over, constructing a supporting system, promoting the strategic regulation of state-run enterprises, giving the proper guidance and supervision, so as to minimize the loss of state assets. |
